In fact, the expression “pro forma” (Latin for “as a matter of form”) is commonly used in many areas including accounting, law, import/export, and government. In the context of Mergers & Acquisitions, the term is mostly used in reference to historical financial statements that are not in line with generally accepted accounting principles such as IFRS, US GAAP, HGB, etc.

A Trade Sale is the complete sale of a company’s shares to another company is a common way for a Private Equity firm to exit their investment. The term Trade Sale is mostly used in the context of Venture Capital and refers to the sale of a company in its early stages. In this case, the involved parties are commonly the founders/managers of the business and their supporting Business Angel or Venture Capital investors as sellers, and a corporate investor as buyer.

Reverse Merger (sometimes also referred to as Reverse IPO) commonly refers to the acquisition of a publicly listed shell company, i.e. a company without significant assets and liabilities, by a smaller private company. The goal of the private company is to become public and gain access to capital markets without going through the hassles of an Initial Public Offering (IPO).
