M&A Term of the Day: What is Pro forma?

The newest addition to our M&A glossary is "Pro Forma", a term often misunderstood and with a negative connotation. In fact, the expression “pro forma” (Latin for “as a matter of form”) is commonly used in many areas including accounting, law, import/export, and government. In the context of Mergers & Acquisitions, the term is mostly used in reference to historical financial statements that are not in line with generally accepted accounting principles such as IFRS, US GAAP, HGB, etc.

M&A Term of the Day: What is Comparable Transaction Analysis?

The newest addition to our M&A glossary is the term "Comparable Transaction Analysis". Business valuation techniques are commonly classified into one of three approaches: the income approach, the asset-based approach, and the market approach. Comparable Transaction Analysis is a common market approach for determining the value of a company by examining and comparing previous acquisitions of companies similar to the target company. Scope of the analysis is to determine the multiples of key income statement items (usually revenue, EBIT and EBITDA) implied by previous transactions.

M&A Term of the Day: What is a Trade Sale?

The newest addition to our M&A glossary is the term "Trade Sale". A Trade Sale is the complete sale of a company’s shares to another company is a common way for a Private Equity firm to exit their investment. The term Trade Sale is mostly used in the context of Venture Capital and refers to the sale of a company in its early stages. In this case, the involved parties are commonly the founders/managers of the business and their supporting Business Angel or Venture Capital investors as sellers, and a corporate investor as buyer.

M&A Term of the Day: What is Vintage Year?

The newest addition to our M&A glossary is the term "Vintage Year". Private Equity and Venture Capital funds frequently sign agreements with their investors to contribute capital to the fund when needed, so-called Committed Capital. In this context, Vintage Year refers to the year in which a Private Equity or Venture Capital fund first draws down capital from its investors (generally coinciding with the year in which the fund makes its first investment).

Reverse Merger (sometimes also referred to as Reverse IPO) commonly refers to the acquisition of a publicly listed shell company, i.e. a company without significant assets and liabilities, by a smaller private company. The goal of the private company is to become public and gain access to capital markets without going through the hassles of an Initial Public Offering (IPO).

The newest addition to our M&A glossary is the term "Hurdle Rate". In corporate finance, Hurdle Rate is the minimum expected return which a planned investment or project must yield in order to be accepted. Therefore, the Hurdle Rate is also referred to as the Minimum Acceptable Rate of Return (MARR).
